Welcome to Finstock, Inc. (“Finstock,” “Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, platform, software, analytics, tools, content, models, signals, research materials, and related services (collectively, the “Services”). By accessing, browsing, registering for, purchasing, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

1. Eligibility and User Suitability
You must be at least eighteen (18) years old, or the age of legal majority in your jurisdiction, whichever is higher, to access or use the Services. By using the Services, you represent and warrant that you have the full right, power, authority, and capacity to enter into and comply with these Terms.
The Services are intended only for professional individual traders, professional institutions, and individuals with at least one (1) year of experience in the financial markets. The Services are not intended for beginners, inexperienced users, or persons who do not sufficiently understand the risks associated with trading, investing, or financial market activity.
You are solely responsible for determining whether your access to and use of the Services is lawful in your jurisdiction and suitable for your knowledge, experience, financial condition, and investment objectives.

2. Account Registration and Security
In order to access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, complete, and not misleading information during the registration process and to keep such information updated at all times.
You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account. You agree to notify us immediately of any unauthorized access to or use of your account or any other breach of security. We reserve the right to suspend, restrict, or terminate any account that contains inaccurate information, appears to be used unlawfully, or otherwise violates these Terms or applicable law.
We may, at our sole discretion, require identity verification, business verification, compliance checks, or additional information before granting, maintaining, or restoring access to any part of the Services.

3. Nature of the Services
Finstock provides a technology platform offering market analytics, trading tools, research support, data-driven insights, quantitative models, educational or informational materials, and related technology-enabled services.
Unless expressly stated otherwise in a separate written agreement, Finstock does not act as a broker, dealer, exchange, custodian, bank, portfolio manager, fiduciary, or licensed investment adviser, and does not execute trades, hold client assets, or provide personalized investment advisory services.
The Services are provided for informational, analytical, research-support, and technology purposes only.

4. No Investment, Legal, Tax, or Financial Advice
Nothing contained in the Services constitutes or should be construed as investment advice, legal advice, tax advice, accounting advice, financial advice, or a recommendation, solicitation, endorsement, or offer to buy, sell, or hold any security, derivative, digital asset, foreign exchange product, or other financial instrument.
Any information, content, model output, signal, research material, ranking, analysis, commentary, projection, or data provided through the Services is general in nature and may not be suitable for your personal circumstances. You remain solely responsible for evaluating the merits and risks of any transaction and for obtaining independent professional advice where appropriate.

5. Risk Disclosure
Trading and investing in financial instruments involve substantial risk and may not be suitable for all users. You may lose part or all of your invested capital. Market prices may be volatile, illiquid, and unpredictable. Leverage may amplify gains as well as losses. Past performance is not indicative of future results, and no representation or guarantee is made that any strategy, signal, model, or use of the Services will achieve profits or avoid losses.
You acknowledge and agree that all trading and investment decisions are made solely by you and at your own risk. You should only use funds that you can afford to lose.

6. User Obligations and Prohibited Conduct
You agree to use the Services only in compliance with these Terms and all applicable laws, rules, and regulations.
You shall not:
(a) use the Services for any unlawful, fraudulent, deceptive, abusive, harmful, or manipulative purpose;
(b) misrepresent your identity, qualifications, trading experience, or institutional status;
(c) interfere with, disrupt, damage, disable, overburden, or impair the Services or related systems;
(d) attempt to gain unauthorized access to any account, system, network, data, or feature of the Services;
(e) reverse engineer, decompile, disassemble, copy, scrape, extract, reproduce, republish, sell, license, distribute, or exploit any part of the Services except as expressly permitted by us in writing;
(f) use the Services to violate any market abuse, anti-fraud, anti-money laundering, sanctions, securities, commodities, or other financial regulations; or
(g) upload, transmit, or distribute any malware, malicious code, or harmful material through the Services.

7. Fees, Billing, and Payments
Certain Services may be offered on a paid, subscription, one-time purchase, enterprise, or custom-pricing basis. By purchasing or subscribing to any paid Service, you agree to pay all applicable fees, charges, taxes, and other amounts due in accordance with the pricing and billing terms presented to you at the time of purchase.
Unless otherwise stated in writing, all fees are non-refundable, non-cancelable for the current billing period, and exclusive of applicable taxes, duties, levies, or governmental charges. If your subscription renews automatically, you authorize us or our third-party payment processors to charge the applicable recurring fees using your selected payment method unless and until you cancel in accordance with the applicable cancellation terms.
We reserve the right to suspend, downgrade, or terminate access to paid Services in the event of failed payment, chargeback, suspected fraud, or non-payment.

8. Data Accuracy, Availability, and No Warranty of Results
The Services, including any market data, pricing information, models, signals, analytics, alerts, indicators, forecasts, and research content, may be delayed, incomplete, unavailable, inaccurate, interrupted, or subject to errors or omissions. We do not guarantee the accuracy, completeness, timeliness, reliability, availability, performance, or fitness of any part of the Services.
You acknowledge that technical failures, connectivity issues, third-party outages, data-source disruptions, market conditions, or system limitations may affect the quality or availability of the Services.

9. Intellectual Property
All rights, title, and interest in and to the Services, including all software, technology, text, graphics, logos, designs, interfaces, databases, models, algorithms, research materials, content, trademarks, service marks, and other proprietary materials, are owned by or licensed to Finstock and are protected by applicable intellectual property and other laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services solely for your internal and lawful use. No right, title, or interest is transferred to you except as expressly stated herein.

10. Privacy and Data Use
Your use of the Services is also subject to our Privacy Policy, which describes how we collect, use, store, process, and disclose personal data and other information. By using the Services, you acknowledge and agree that your information may be processed in accordance with our Privacy Policy and applicable law.
You are responsible for ensuring that any data, content, or information you provide to us is lawful, accurate, and does not violate the rights of any third party.

The Services may contain or rely on third-party tools, websites, software, payment processors, data feeds, APIs, content, or links. We do not control and are not responsible for the availability, accuracy, legality, performance, security, or practices of any third-party services or content. Your use of third-party services is at your own risk and may be subject to separate terms and policies imposed by those third parties.

12. Restricted Jurisdictions and Compliance
The Services may not be available in all jurisdictions or to all persons. We reserve the right to restrict, suspend, or deny access to the Services in any jurisdiction where such access would be unlawful, commercially impractical, or inconsistent with our internal compliance policies.
You represent and warrant that:
(a) you are not located in, organized under the laws of, or ordinarily resident in any restricted or sanctioned jurisdiction;
(b) you are not subject to any trade, economic, or financial sanctions or restrictions;
(c) your use of the Services does not violate any applicable law, regulation, or regulatory requirement in your jurisdiction.

13. Suspension and Termination
We may, at any time and in our sole discretion, suspend, restrict, disable, or terminate your access to all or part of the Services, with or without notice, for any reason, including if:
(a) you breach these Terms;
(b) we believe your use of the Services may violate applicable law or regulation;
(c) we detect suspicious, fraudulent, abusive, or harmful activity;
(d) we are required to do so for legal, regulatory, security, or operational reasons; or
(e) we discontinue the Services or any part thereof.
Upon termination, all rights granted to you under these Terms will immediately cease. Any provisions that by their nature should survive termination shall survive, including provisions relating to payment obligations, intellectual property, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution.

14. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Services are provided on an “as is,” “as available,” and “with all faults” basis. Finstock disclaims all representations, warranties, and conditions of any kind, whether express, implied, statutory, or otherwise, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, availability, or uninterrupted use.
We do not warrant that the Services will be secure, error-free, uninterrupted, timely, complete, profitable, or free from viruses or other harmful components.

15. Limitation of Liability
To the fullest extent permitted by applicable law, Finstock, Inc., its affiliates, officers, directors, employees, contractors, licensors, service providers, and agents shall not be liable for any indirect, incidental, special, exemplary, consequential, punitive, or enhanced damages, or for any loss of profits, revenues, business opportunities, goodwill, anticipated savings, data, trading losses, investment losses, or other intangible losses, arising out of or relating to your use of or inability to use the Services, regardless of the legal theory and even if advised of the possibility of such damages.
To the fullest extent permitted by applicable law, the total aggregate liability of Finstock arising out of or relating to the Services or these Terms shall not exceed the greater of (i) the amount paid by you to Finstock for the Services during the three (3) months immediately preceding the event giving rise to the claim, or (ii) one hundred U.S. dollars (US$100).
Nothing in these Terms excludes or limits liability to the extent such liability cannot be excluded or limited under applicable law.

16. Indemnification
You agree to indemnify, defend, and hold harmless Finstock, Inc., its affiliates, officers, directors, employees, contractors, licensors, service providers, and agents from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
(a) your access to or use of the Services;
(b) your violation of these Terms;
(c) your violation of any applicable law, regulation, or third-party right; or
(d) any data, content, materials, or information submitted, transmitted, or used by you in connection with the Services.

17. Changes to the Services and Terms
We reserve the right to modify, suspend, discontinue, or replace any part of the Services at any time, with or without notice.
We may also revise these Terms from time to time. If we make material changes, we may provide notice by posting the updated Terms on our website, through your account, or by email to the address associated with your account, where appropriate. Your continued access to or use of the Services after the effective date of the updated Terms constitutes your acceptance of the revised Terms.

18. Governing Law and Dispute Resolution
These Terms and any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of laws principles.
Any dispute arising out of or in connection with these Terms or the Services shall be submitted to the courts of Hong Kong, and you irrevocably submit to the exclusive jurisdiction of such courts, unless otherwise required by applicable law or agreed by the parties in writing.

19. Miscellaneous
These Terms constitute the entire agreement between you and Finstock regarding the Services and supersede all prior or contemporaneous understandings, communications, proposals, and agreements, whether oral or written, relating to the subject matter herein.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
Our failure to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision.
You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms, in whole or in part, at any time without restriction.
